Fees and payment

2.1

The Customer shall pay each undisputed invoice within 45 days of receipt.

Limitation of liability

3.1

Each party's total liability shall not exceed two times the Fees paid in the twelve months before the claim.

Term and termination

4.1

This Agreement continues for three years and renews automatically for successive one-year termsmay be renewed by written agreement.

4.2

Either party may terminate this Agreement for material breach on 30 days' written notice.

Governing law

5.1

This Agreement is governed by the laws of the State of New York.
