These Reducto Office Terms of Service (the "Terms") are an agreement between you and Reducto, Inc., a Delaware corporation located at 77 Geary Street, Floor 4, San Francisco, CA 94108 ("Reducto," "we," "us," or "our"). They govern your use of Reducto Office, an app that lets you create, read, and edit Word, PowerPoint, and Excel files (docx, pptx, and xlsx) from within third-party AI assistants and platforms (the "Service"). By connecting, signing in to, or using the Service, you agree to these Terms and acknowledge our Reducto Office Privacy Policy at https://www.reducto.ai/office/privacy (the "Privacy Policy").
IMPORTANT NOTICE ABOUT DISPUTES: PLEASE READ SECTION 16 CAREFULLY. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 16, YOU AND REDUCTO AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. SECTION 16 ALSO SETS SPECIAL PROCEDURES FOR MASS ARBITRATIONS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 16.7.
1.1 These Terms apply only to Reducto Office. They do not apply to Reducto's API, Reducto Editor, or any other Reducto product, which are governed by separate terms or by a written agreement with Reducto.
1.2 Reducto Office is offered to individuals for personal or professional use. No master services agreement, data processing agreement, business associate agreement, or zero data retention commitment applies to the Service. If you need those protections, do not use the Service; contact support@reducto.ai about our enterprise products.
1.3 Your Reducto account may also give you access to Reducto's other web-based products. To use them, you must separately accept Reducto's Terms of Service at https://reducto.ai/terms and Privacy Notice at https://reducto.ai/privacy, which govern your use of those products. These Terms continue to govern your use of Reducto Office.
2.1 You must be at least 18 years old to use the Service. By using the Service, you confirm that you are 18 or older and can form a binding contract.
2.2 If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.
2.3 You may not use the Service if you are barred from receiving services under applicable law, including U.S. export control and sanctions laws.
3.1 You access the Service through third-party AI assistants and platforms (each, a "Platform"). Platforms are operated by their providers, not by Reducto. Your use of a Platform is governed by that provider's own terms and privacy policy.
3.2 The Platform hosts your conversation and decides what information it sends to the Service. Reducto receives the requests, files, and instructions the Platform sends to perform an action you request. Reducto is not responsible for a Platform's availability, outputs, data practices, or decisions about which information it shares with us.
3.3 Reducto Office is not affiliated with, endorsed by, or sponsored by Microsoft Corporation or any Platform provider. Microsoft, Word, PowerPoint, and Excel are trademarks of Microsoft Corporation. Other Platform names are trademarks of their owners.
4.1 You must sign in with a Reducto account to use the Service. You must give accurate information and keep your credentials secure. You are responsible for activity under your account.
4.2 Notify us at support@reducto.ai promptly if you believe your account has been compromised.
4.3 You may close your account at any time through contacting support@reducto.ai. Section 11 describes what happens to your data.
5.1 Free Service. We offer the Service free of charge subject to usage limits, including limits on requests, file size, and processing volume ("Rate Limits"). We may change Rate Limits at any time. Current limits are described at https://reducto.ai/office/mcp-rate-limits.
6.1 "Your Content" means the files you upload or connect, the instructions and tool calls the Platform sends to the Service on your behalf, and the files and outputs the Service creates or returns to you. As between you and Reducto, you keep all rights in Your Content.
6.2 You confirm that you have all rights and permissions needed to submit Your Content to the Service, including any consents required from people whose personal information appears in it.
6.3 Sensitive Information. The Service is not designed to process protected health information, payment card data, government ID numbers, or other sensitive personal information. Do not submit it. Reducto does not act as a business associate under HIPAA for the Service.
7.1 License to Provide the Service. You grant Reducto a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content to provide, secure, and support the Service, to comply with law, and for the purposes in Section 7.2.
7.2 Training and Data Licensing. Unless you opt out under Section 7.3, Reducto may use Your Content, including tool calls and the documents processed, to (a) train, evaluate, and improve Reducto's AI models and services, and (b) create datasets and other insights and data derived from how people and AI agents interact with documents, such as interaction patterns (for example, accepting or declining suggested edits) and usage signals, including the type of editing performed (for example, spell checking) (together, "Derived Data"), that Reducto may license or sell to third parties, including AI developers, for training and evaluating their models. Derived Data will not include your files themselves or personal information. Reducto maintains Derived Data in de-identified form, will not attempt to re-identify it, and contractually requires recipients not to re-identify it. Reducto does not sell your personal information or share it for advertising purposes.
7.3 Opt-Out. You may opt out of the uses in Section 7.2 at any time at https://office.reducto.ai/opt-out or by emailing support@reducto.ai. Opting out applies only to content processed after the opt-out takes effect. Opting out does not reach Your Content that was added to Reducto's training data, used to train Reducto's models, or incorporated into Derived Data before your opt-out takes effect, because removing it is not technically feasible.
7.4 Processing Terms Record. Reducto records the version of these Terms and your opt-out status at the time Your Content was processed, and honors that status for that content.
7.5 Aggregated Data. Reducto may collect and use usage metrics and aggregated or de-identified information that does not identify you or reveal the contents of Your Content, to operate, analyze, and improve the Service.
7.6 Feedback. If you send us feedback or suggestions, we may use them without restriction or compensation to you.
8.1 You will not, and will not let anyone else: (a) use the Service or its outputs in violation of law or third-party rights; (b) submit content you lack the right to share, or that is unlawful, infringing, or malicious; (c) create forged, counterfeit, or fraudulent documents, impersonate any person or organization, or misrepresent the source of any content; (d) harass, threaten, stalk, defame, or abuse any person, or violate their privacy; (e) interfere with or disrupt the Service, or bypass Rate Limits, security, or access controls; (f) reverse engineer, scrape, or extract the Service's source code, models, or prompts, except as permitted by law; (g) use the Service to build a competing product or to train a model that competes with Reducto; (h) create multiple accounts to evade Rate Limits or a suspension; (i) resell or sublicense the Service; or (j) use the Service for high-risk decisions with legal or similarly significant effects on individuals without appropriate human review.
8.2 We may investigate and suspend or restrict access for suspected violations.
9.1 The Service uses automated processing, including AI, and may produce inaccurate, incomplete, or improperly formatted outputs. You are responsible for reviewing outputs before relying on them.
9.2 Outputs are not legal, financial, medical, or other professional advice.
Reducto and its licensors own the Service, including its software, models, and content (excluding Your Content). We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. All rights not expressly granted are reserved.
11.1 After you close your account, or we terminate it, your right to use the Service ends.
11.2 Retention After Closure. We treat closure of your account as a request to delete Your Content under Section 11.3.
11.3 Deletion Requests. You may request deletion of Your Content at any time at support@reducto.ai. We will delete it from active systems within 30 days and from backups within 90 days, subject to legal exceptions. Deletion does not reach Your Content that was added to Reducto's training data, used to train Reducto's models, or incorporated into Derived Data before your request, because removing it is not technically feasible.
We may suspend or end your access at any time if you breach these Terms, if required by law, or if we discontinue the Service. If we discontinue the Service, we will try to give reasonable advance notice.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, REDUCTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ITS OUTPUTS WILL BE ACCURATE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY PLATFORM WILL REMAIN COMPATIBLE WITH THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) REDUCTO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL; AND (b) REDUCTO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED US $100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
If you use the Service for business purposes, you will defend and indemnify Reducto against third-party claims arising from Your Content or your breach of these Terms or law. This section does not apply to consumers where prohibited by law.
16.1 These Terms are governed by the laws of the State of California, excluding conflict-of-laws rules. Subject to Sections 16.2 through 16.8, disputes will be resolved in the state or federal courts in San Francisco County, California, and you and Reducto consent to their jurisdiction.
16.2 Informal Resolution. Before either of us starts an arbitration or court action, the party bringing the claim must send the other a written notice describing the claim and the relief sought (a "Notice of Dispute"). Notices to Reducto go to support@reducto.ai with the subject line "Notice of Dispute." Each Notice of Dispute must be individual to one person, include that person's name and the email address of their Reducto account, and be personally signed by that person (and by their lawyer, if they have one). For 60 days after a complete Notice of Dispute is received, you and Reducto will try in good faith to resolve the claim, including through an individual telephone or video conference if either of us requests one. Statutes of limitations and filing deadlines are tolled during this period. Completing this process is a condition to starting arbitration or a court action, and an arbitration provider may not accept or assess fees on a claim filed without it.
16.3 Binding Individual Arbitration. Except as provided in Sections 16.4 and 16.5, you and Reducto agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or, for business users, its Commercial Arbitration Rules, as modified by this Section 16. The Federal Arbitration Act governs this Section 16. The arbitrator decides all questions about the scope, validity, and enforceability of this Section 16, except that a court decides questions about Sections 16.5 (Class Action Waiver) and 16.6 (Mass Arbitration). Hearings will take place by video conference or in the county where you live, unless you and Reducto agree otherwise. Fees will be allocated as the AAA rules provide. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent needed to resolve that party's individual claim.
16.4 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or to stop misuse of the Service, including violations of Section 8. Any claim for public injunctive relief that applicable law does not allow to be arbitrated will be decided by a court in the venue in Section 16.1 only after all arbitrable claims are resolved, and that court action will be stayed until then.
16.5 Class Action Waiver. You and Reducto may bring claims against each other only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any class, collective, or representative proceeding, except as Section 16.6 provides. If a court finds this Section 16.5 unenforceable as to a particular claim or form of relief, that claim or relief will be severed and decided by a court in the venue in Section 16.1, after all other claims are arbitrated, and the rest of this Section 16 will remain in effect.
16.6 Mass Arbitration. If 25 or more similar demands for arbitration are filed against Reducto by or with the help of the same or coordinated lawyers or organizations ("Mass Filing"), the AAA's Mass Arbitration Supplementary Rules will apply, together with the following: (a) the demands will be administered in batches of up to 100 demands each, with one arbitrator appointed per batch, and the AAA will charge filing and administrative fees per batch rather than per demand; (b) before any other batches proceed, an initial batch of up to 10 demands, half selected by the claimants' counsel and half by Reducto, will be arbitrated, after which the parties will mediate the remaining demands in good faith for at least 30 days; (c) if the remaining demands are not resolved, they will proceed in batches as described in clause (a); and (d) statutes of limitations and filing deadlines for each demand are tolled from the time it is submitted until its batch is assigned an arbitrator. A court in the venue in Section 16.1 may enforce this Section 16.6, including by enjoining the filing or administration of demands that do not comply with it.
16.7 30-Day Opt-Out. You may opt out of this Section 16 (except Section 16.2) by emailing support@reducto.ai with the subject line "Arbitration Opt-Out," your name, and the email address of your Reducto account, within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms.
16.8 Changes to This Section. If Reducto changes this Section 16 after you accept these Terms, you may reject the change by emailing support@reducto.ai within 30 days after it takes effect, and the version of this Section 16 in effect before the change will continue to apply to disputes between you and Reducto.
16.9 If you live in the EU, the UK, or another jurisdiction that grants you mandatory consumer protections, nothing in these Terms removes those protections or your right to bring claims in your local courts.
We may update these Terms. We will post the updated Terms with a new "Last Updated" date and, for material changes, give notice through the Service or by email at least 15 days before they take effect. Continued use after the effective date means you accept the changes. Changes that expand how we use Your Content apply only as stated in Section 7.4.
These Terms, together with the Privacy Policy, are the entire agreement between you and Reducto about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
